We may share information with trusted service providers (payment processing, CRM and marketing platforms, banking, communication tools, analytics) only as needed to deliver Services. 5.1 How We Obtain SMS Consent
We obtain your consent to receive SMS/text messages through:
- Online Opt-In Form: By completing our SMS consent form on our Website and checking the consent checkbox, you expressly agree to receive text messages from Tilth & Co LLC.
- Written Consent: By signing a service agreement or other document that includes SMS consent language.

You may opt out at any time by replying STOP to any message. You will receive one final confirmation message and no further messages will be sent unless you opt in again. You may also request deletion of your mobile phone number from our SMS database by contacting legal@tilthnco.com.
6. Data Security
We implement appropriate technical and organizational measures including encryption in transit and at rest, secure password practices and access controls, regular security assessments, limited access on a need-to-know basis, and use of reputable third-party service providers. No method of transmission over the Internet is 100% secure.
7. Data Retention
We retain your personal information for the duration of our business relationship, as required to comply with legal obligations, to resolve disputes, and for legitimate business purposes. When information is no longer needed, we securely delete or anonymize it.

3.6 Carrier Liability Disclaimer
Mobile carriers are not liable for delayed or undelivered messages. Tilth & Co LLC and mobile carriers (including AT&T, Verizon, T-Mobile, Sprint, and others) are not responsible for any delays, failures to deliver, or errors in the content of SMS messages.
3.7 Age Requirement
You must be at least 18 years of age to opt in to receive text messages from Tilth & Co LLC.
3.8 Consent Not Required for Purchase
Consent to receive text messages is not a condition of purchasing any goods or services from Tilth & Co LLC.
4. Client Accounts and Responsibilities
Clients must provide accurate information, respond to requests within reasonable timeframes, ensure they have legal rights to any content provided, comply with applicable laws, and maintain confidentiality of credentials. Use of any third-party platforms is subject to those platforms' own terms and any associated fees are the Client's responsibility unless otherwise agreed in writing.
5. Service Agreements and Proposals
Services are provided pursuant to a separate Service Agreement, proposal, or Statement of Work outlining specific services, pricing, payment terms, timeline, and deliverables. In a conflict between these Terms and a signed Service Agreement, the Service Agreement controls for that engagement.
6. Pricing, Payment, and Billing
Fees are specified in the Service Agreement. Setup and one-time charges are due upon execution. Recurring fees are billed monthly in advance, due within 15 days of invoice. Late payments may incur a 1.5% monthly fee (or maximum allowed by law). Fees do not include applicable taxes.
7. Refund and Cancellation Policy
Setup fees are non-refundable once work has commenced; if cancelled before work begins, a 50% refund of setup fees may be available. Recurring services may be cancelled with 30 days' written notice to legal@tilthnco.com; no refunds for partial months. Tilth & Co LLC may terminate for breach, non-payment, illegal conduct, or legal/ethical conflicts.
8. Intellectual Property
Clients retain ownership of materials they provide. Upon full payment, Clients own deliverables created specifically for them, except for pre-existing materials, third-party materials, and general knowledge. Tilth & Co LLC may display completed work in its portfolio unless otherwise agreed in writing.
9. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the engagement, with standard exceptions for publicly available information, prior knowledge, independently developed information, and information required to be disclosed by law.
10. Limitation of Liability
Services are provided "as is" and "as available." To the fullest extent permitted by law, Tilth & Co disclaims all warranties and shall not be liable for indirect, incidental, special, consequential, or punitive damages. Total liability shall not exceed the amount paid by the Client in the six months preceding the claim. Tilth & Co is not liable for issues caused by third-party platforms.
11. Indemnification
Clients agree to indemnify Tilth & Co LLC against claims arising from breach of these Terms, violations of law, use of Services or deliverables, infringement claims related to Client Materials, or Client business operations.
12. Dispute Resolution
Parties will attempt informal resolution for at least 30 days before formal proceedings. These Terms are governed by the laws of the State of Delaware. Any legal action shall be brought exclusively in the state or federal courts located in Delaware.
13. General Provisions
These Terms (with any Service Agreement and the Privacy Policy) constitute the entire agreement. Tilth & Co LLC may modify these Terms at any time with notice. If any provision is unenforceable, the rest remains in effect. The relationship is that of independent contractors.
